Converge — Terms of Use

Converge is a physical-therapy companion app developed by BoBo ("we," "us," or "our"). These Terms of Use ("Terms") are a binding agreement between you ("you" or "your") and us, and they govern your access to and use of the Converge mobile app and related services (together, the "Service").

Please read these Terms carefully. They include important limitations on our liability and describe risks involved in physical exercise.

1. Acceptance of These Terms

By creating or activating your Converge account, tapping "I agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Notice. You also confirm that you have reviewed and accepted the in-app Health & Safety Disclaimer presented during onboarding (the "Disclaimer").

If you do not agree to these Terms or the Disclaimer, do not use the Service.

2. Converge Provides Exercise Suggestions Only — Not Medical Advice

Converge offers guided exercise suggestions to support your physical-therapy journey. It is a wellness and exercise tool. It is not a medical device and does not provide medical advice, diagnosis, treatment, or a clinical opinion.

• Information, exercises, questionnaires, pain (VAS) ratings, and progress views in the Service are for general informational and self-management purposes only.
• Converge does not replace the judgment of your treating clinician, physical therapist, or any other qualified healthcare professional.
• Always follow the instructions of your own clinic and clinicians. If their guidance differs from anything in the app, follow your clinicians.
• Never disregard or delay seeking professional medical advice because of something you saw or did in the Service.

This Section is reinforced by, and should be read together with, the onboarding Disclaimer, which you must accept before using the Service.

If you experience chest pain, severe or worsening pain, dizziness, shortness of breath, numbness, or any other concerning symptom, stop immediately and seek appropriate medical care. In an emergency, call your local emergency number (911 in the US).

3. Eligibility

To use Converge, you must:

• Be provisioned by a participating clinic — Converge accounts are created and activated for you by your clinic; you cannot self-register for clinical use; and
• Be 18 years of age or older.

By using the Service you represent and warrant that both of the above are true. You may use the Service only while you have an active, authorized relationship with a provisioning clinic, unless we tell you otherwise.

4. Acceptable Use

You agree to use the Service only for your own personal, lawful self-management and to follow these rules. You will not:

• Use the Service in any way that violates applicable law or regulation;
• Provide false or misleading information, including inaccurate pain ratings or questionnaire responses;
• Share, transfer, or sell your account, or use anyone else's account;
• Attempt to access data, records, or dashboards belonging to other patients, clinicians, or clinics;
• Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems;
• Reverse engineer, decompile, scrape, copy, or create derivative works from the Service except as permitted by law;
• Upload malicious code or use the Service to harass, harm, or impersonate others; or
• Use the Service in any manner that could damage, overburden, or impair it.

You are responsible for ensuring your environment is safe before exercising (see the Disclaimer and Section 8).

5. Account Security

Your account may give access to personal health information. You agree to:

• Keep your login credentials private and not share them with anyone, including family or friends;
• Use a device you control and keep it secured (e.g., screen lock);
• Promptly notify your clinic and us if you suspect any unauthorized use of your account or any security incident.

You are responsible for activity that occurs under your account. We are not liable for any loss arising from your failure to safeguard your credentials. We may suspend access if we reasonably believe an account has been compromised.

6. Health Information and Privacy

Converge handles personal health information in support of your clinic's care, under a Business Associate Agreement (BAA) with the relevant covered entity, consistent with applicable US privacy and security laws (including HIPAA). Protected health information is handled within covered services as described in our Privacy Notice. Your clinic remains the entity responsible for your care relationship and its records. Please review the Privacy Notice for details on how your data is collected, used, and protected.

7. Intellectual Property

The Service — including its software, exercise videos, content, design, text, graphics, logos, and the "Converge" name and branding (developed by BoBo) — is owned by us or our licensors and is protected by intellectual property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own self-management while you are an authorized user. We reserve all rights not expressly granted. You may not reproduce, distribute, publicly display, or commercially exploit any part of the Service without our prior written consent.

Any feedback you provide may be used by us without restriction or obligation to you.

8. Exercise Is Done at Your Own Risk

Physical exercise carries inherent risks, including muscle soreness, strain, injury, falls, or aggravation of existing conditions. You participate in any exercise, movement, or activity suggested by the Service voluntarily and entirely at your own risk.

You acknowledge and agree that:

• You are responsible for evaluating your own fitness to perform any exercise and for stopping if anything causes pain, discomfort, or distress;
• You should consult your clinician before starting, changing, or continuing any exercise if you have any concerns;
• You will perform exercises in a safe environment with adequate space and support; and
• You assume all risk of injury or harm arising from your use of the Service, to the maximum extent permitted by law.

9. Disclaimers of Warranty

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage.

We do not warrant that the Service will be uninterrupted, error-free, secure, accurate, or that any exercise or content will achieve any particular health, fitness, or recovery outcome. Converge is a wellness and exercise tool and makes no clinical or therapeutic guarantee.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. Nothing in these Terms limits rights that cannot be limited under applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, goodwill, or profits, arising out of or related to your use of (or inability to use) the Service or any exercise performed.
• Our total aggregate liability arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid us, if any, for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars (US $100).

These limitations apply regardless of the legal theory and even if we were advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as for gross negligence, willful misconduct, or death or personal injury caused by our negligence where the law prohibits such exclusion).

11. Accessibility

We aim to make Converge usable by people with disabilities and work toward conformance with recognized accessibility standards, consistent with applicable laws including the European Accessibility Act (EAA). If you encounter an accessibility barrier, please contact us using the details below so we can assist.

12. Termination and Discharge

Your access to the Service is tied to your relationship with your provisioning clinic.

• When you are discharged from your clinic, or your authorized relationship with the clinic ends, your access to the Service may end as well.
• You may stop using the Service at any time and ask your clinic to deactivate your account.
• We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by your clinic, or if we discontinue the Service.

Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive. Handling of your health information after termination is governed by the Privacy Notice and your clinic's obligations.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means and update the version and effective date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

14. Governing Law

These Terms are governed by the laws of the United States and the State in which we are established, without regard to conflict-of-laws principles. The federal and state courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where applicable law gives you the right to bring a claim elsewhere.
